ACCEPTANCE
This website (collectively, all content and functionality available through the Trophyrock.com domain name, the “Website”) is owned by Redmond Minerals, Inc., a Utah corporation whose principal place of business is located at 475 West 910 South, Heber City, UT 84032 (hereafter “Redmond”). By using the Website you signify your agreement to these Terms of Service, including the Privacy Policy below. 

WEBSITE
The Website may contain links to third party websites that Redmond has no control over, and assumes no responsibility for.  By using the Website, you expressly release Redmond from any and all liability arising from your use of any third-party website.

WEBSITE ACCOUNT
You will need to create a user account to access some features of the Website.  When creating an account you must provide complete and accurate information.  Redmond may seek to verify the accuracy of the information you provide.  Redmond reserves the right to discontinue your user account or any aspect of the Website at any time, for any reason, without notice, or any formality or procedure. You must notify Redmond of any breach of security or unauthorized use of your account.

YOUR USE OF WEBSITE CONTENT
All Content and Trademarks on the Website, except User Submissions (as defined below), are owned by or licensed to Redmond.  Content is provided “as is” for informational and personal use only.  You agree not to download, copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit the Content or Trademarks for any other purpose whatsoever without the prior written consent of Redmond. 

YOUR USER SUBMISSIONS AND CONDUCT
As a Website account holder you may submit photographs and user comments (collectively “User Submissions”).  You are solely responsible for your own User Submissions and any consequences of posting them.  With regard to your User Submissions, you represent and/or warrant that: you own or have all necessary licenses, rights, consents, and permissions to use and authorize Redmond to use all rights in and to any and all User Submissions to enable inclusion and use of the User Submissions.

You retain all of your ownership rights in your User Submissions.  However, by submitting User Submissions to Redmond, you hereby grant Redmond a perpetual and irrevocable worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display the User Submissions in connection with the Website and Redmond’s business, including without limitation for promoting the Website (and derivative works thereof) or Redmond’s products in any media formats and through any media channels.  You further grant to Redmond any further rights, which Redmond may need to effectuate the above, including the rights to adapt your User Submissions for use in its advertising and promotional materials.  You waive any right that you may have to inspect or approve the User Submissions as adapted, now and in the future, regardless of whether that use or subject matter is known to me.

You further agree that you will not submit material that is copyrighted unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Redmond all of the license rights granted herein.

You further agree that you will not submit material that is contrary to applicable local, national, and international laws and regulations.

Redmond does not endorse any User Submission and expressly disclaims any and all liability in connection therewith. Redmond reserves the right to remove Content and User Submissions for any reason, without prior notice or formality or procedure.

NO WARRANTY
YOU AGREE THAT YOUR USE OF THE WEBSITE IS AT YOUR OWN RISK. REDMOND PROVIDES NO WARRANTY, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE.

INDEMNIFICATION
You agree to indemnify and hold Redmond and Redmond and its partner’s affiliates, subsidiaries, agents, and their employees, officers, directors, and representatives from any claims, losses, and damages from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses, including but not limited to all attorney's fees and costs reasonably incurred in connection therewith, arising from your use of and access to the Website or your violation of these Terms of Service.

MODIFICATION AND WAIVER
These Terms of Service supersede all prior terms of service relating to the Website.  You acknowledge that Redmond may change, amend, or modify these Terms of Service, in whole or in part, in its sole discretion, without notice, procedure or formality.  Redmond failure to enforce any part of these Terms of Service shall not constitute a waiver of Redmond’s rights therein.

DISPUTES
You agree that any and all disputes relating to the Website or these Terms of Service, shall be resolved, individually, without resort to any form of class action, under the laws of the State of Utah, without regard to its conflicts of laws provisions.  You further agree that the exclusive forum for any actions arising out of or relating to the Contest shall be the appropriate state or federal court sitting in Salt Lake County, State of Utah.

PRIVACY POLICY
Redmond may use your personal data to operate, maintain, and improve the features and functionality of the Website.  We may use your email address to notify you of changes to the Website, upcoming promotions relating to Redmond products, or for customer service purposes. We may use cookies and log files to store information to provide custom personalized information, monitor the effectiveness of our marketing campaigns, and monitor number of visitors, pages viewed, and to track your User Submissions and your response to contests that Redmond may sponsor on the Website from time to time.  However, we will not sell your email address or other personal information to any third party.
